These Terms of Service \\\"Agreement\\\") govern the professional service relationship between Xtract Digitals LLC (\\\"Agency\\\", \\\"we\\\", \\\"us\\\") and the client (\\\"Client\\\", \\\"you\\\") executing a Statement of Work, project scope, or service proposal.
Xtract Digitals LLC provides custom digital services including web design, custom web development, brand identity design, digital marketing, search engine optimization (SEO), workflow automation, and ongoing site maintenance.
To ensure timely project execution, the Client agrees to provide required brand assets, copywriting, credentials, and business information in a timely manner, and review deliverables within 5 business days.
Project fees are billed according to the schedule specified in your SOW (typically an initial deposit prior to project kick-off, milestone payments, and a final balance prior to deployment).
Upon receipt of full and final payment for the project, Xtract Digitals LLC transfers to the Client full ownership rights to the final customized visual designs, source code, and branding assets created specifically for the Client.
Every custom web project includes a thirty (30) day post-launch bug fix guarantee to remedy technical defects at no additional cost.
To the maximum extent permitted by applicable law, Agency total aggregate liability arising out of any engagement shall not exceed the total fees paid by Client for the specific project giving rise to the claim.
By accessing or using the Service, you acknowledge that you have read,
understood, and agree to be bound by these Terms.
You agree to use the Service for lawful purposes only and will not engage
in any activity that violates applicable laws and regulations.
Any content, information, or material you submit to the Service is your
responsibility. By submitting content, you grant us a non-exclusive,
worldwide, royalty-free license to use, display, and distribute that
content as necessary to provide the Service.
Your use of the Service is subject to our Privacy Policy, which is
incorporated into these Terms. Please review our Privacy Policy to
understand our data practices.
We reserve the right to terminate or suspend your access to the Service
at our sole discretion, with or without notice, for any reason,
including a breach of these Terms.
To the fullest extent permitted by law,
XTRACT DIGITALS LLC shall not be liable for
any direct, indirect, incidental, special, or consequential damages
resulting from your use of the Service.
We may modify these Terms at any time. Any changes will be effective
immediately upon posting on the Service. Your continued use of the
Service after such changes constitutes your acceptance of the updated
Terms.
These Terms are governed by and construed in accordance with the laws
of California.
